Company communication in relation to the Mandatory Buyback

Dear shareholder of Solidcore Resources plc (ISIN: JE00B6T5S470),

The Company has received numerous requests from shareholders as to whether their shares are subject to the mandatory buyback and therefore wishes to remind shareholders of the steps that they are advised to take.

To be certain whether your shares are subject to the buyback process announced by the Company on 14 July 2025, please request a statement with full ownership chain from your broker as soon as possible. If Euroclear is present in the chain, then your shares are subject to the mandatory buyback at US$ 2.57 per share which may be implemented after 3 November 2025. You are advised to transfer your shares to the AIX infrastructure if you do not want your shares to be repurchased. The deadline for the transfer completion is 31 October 2025. Shareholders whose shares are held in Russian National Settlement Depository (NSD) are hereby notified that all such shares are held within the Euroclear system and are therefore subject to the mandatory buyback. In order to avoid the buyback, Eligible Shareholders are advised to participate in the Final Exchange Offer by following the instructions in the FAQ published on the Company’s website (in Russian only):

Otherwise, if Euroclear is not present in the chain, then your shares are not subject to the buyback and you do not need to take any immediate action on the transfer. Requests for any transfer of such shares will be delayed and could be processed by the AIX Registrar only after the completion of the buyback process.
